Tripitsu USA, LLC — Affiliate Terms & Conditions

These Affiliate Terms & Conditions (“Affiliate Terms”) govern participation in the affiliate program of Tripitsu USA, LLC (“Tripitsu,” “we,” “us,” or “our”). By registering as an affiliate, you (“Affiliate,” “you,” or “your”) agree to be bound by these Affiliate Terms.

1. Eligibility

  • Affiliates must operate as a company or be employed by a company that is legally established and engaged in the business of travel services or travel bookings.
  • Affiliates must complete the registration process on our website and receive approval from Tripitsu.

2. Commission Structure

  • Affiliates earn a 10% commission on the total price of trips booked via Tripitsu.
  • Commissions are payable only when:
    • The client has paid Tripitsu in full, and
    • The trip has been completed (“consummated”) by the traveler(s).
  • No commission will be paid for:
    • Cancellations,
    • Trips for which payments are refunded to the client,
    • Trips booked less than 5 business days before arrival,
    • Trips booked by the Affiliate for themselves,
    • Trips booked using the Affiliate Travel Discount, which is offered exclusively to affiliates to experience Tripitsu trips at significantly discounted rates (typically 50-75% off).

3. Payment of Commission

  • Commissions will be calculated and paid only after a 30-calendar-day grace period has passed following the traveler’s completion of their trip, to allow for any possible refunds or cancellations.
  • The minimum payout threshold is $500 USD. If an Affiliate’s earned commissions do not meet this threshold, the balance will carry forward to the next payout period.
  • Commission payouts are made once per calendar quarter, on a schedule starting with 30 January each year (i.e., 30 January, 30 April, 30 July, and 30 October).
  • Payments are made via PayPal or another method agreed upon in writing.
  • Affiliates are responsible for all bank fees or transfer charges related to commission payments.

4. Affiliate Responsibilities

  • Affiliates must ensure all information provided during the booking process is accurate and complete.
  • Affiliates are responsible for arranging all travel to and from Sri Lanka for their clients and must provide Tripitsu with details of such arrangements no later than 14 days before the start of the trip.
  • Tripitsu is not responsible for ensuring travelers have appropriate visas, passports, or other travel documents; however, Tripitsu will cooperate with Affiliates who request assistance with visa processing for clients. Such assistance will incur a separate cost.
  • Affiliates must comply with all applicable laws and regulations, including consumer protection, advertising, and data privacy laws.
  • Affiliates may not make false or misleading statements about Tripitsu’s services.
  • Affiliates are responsible for any costs associated with marketing or promoting Tripitsu’s services unless otherwise agreed in writing.

5. Relationship of the Parties

  • Nothing in these Affiliate Terms creates a partnership, joint venture, employment, or agency relationship between Tripitsu and the Affiliate.
  • Affiliates are independent contractors and are not authorized to bind Tripitsu in any way.

6. Intellectual Property

  • Affiliates may use Tripitsu’s name, logo, and materials solely for the purpose of promoting Tripitsu’s services and only with Tripitsu’s prior written consent.
  • All intellectual property remains the exclusive property of Tripitsu.

7. Termination

  • Either party may terminate the Affiliate relationship at any time, with or without cause, by providing written notice.
  • Upon termination:
  • The Affiliate must cease using all Tripitsu intellectual property and promotional materials.
  • Tripitsu will pay any commissions earned for trips completed prior to termination, subject to the conditions above.

8. Limitation of Liability

  • Tripitsu shall not be liable for indirect, consequential, or incidental damages arising from this Affiliate relationship.
  • Tripitsu’s total liability under these Affiliate Terms shall not exceed the total commissions paid to the Affiliate in the preceding 12 months.

9. Governing Law

These Affiliate Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

10. Amendments

Tripitsu reserves the right to amend these Affiliate Terms at any time. Updated terms will be posted on our website. Continued participation in the Affiliate program constitutes acceptance of any amended terms.
